United States, Te... "OVERVIEW Health IT, Inc. (“Health IT” or the “Company”) is a Texas corporation with its principal place of business located at 9400 N. Central Expressway, Suite 1215, Dallas, Texas 75131. The Company was formed on July 14, 1997, as a Texas limited liability company, and was converted to a Texas corporation on December 13, 1999. Health IT is a healthcare-focused Internet company facilitating online communications among physicians, dentists and other healthcare professionals (“providers” or “healthcare providers”) and their patients and vendors. Health IT develops web sites and web-enabled databases and applications for physicians, dentists, independent practice associations, medical school departments, and vendors who support healthcare professionals. Web sites for healthcare professionals are a step in the direction of the Virtual Front Desk™, an application being developed by Health IT to manage online communications between patients and healthcare professionals. The Virtual Front Desk™ will allow providers to enhance service and access while lowering costs. The Virtual Front Desk™ will allow patients the convenience to access their health providers’ offices 24 hours a day, 7 days a week through a friendly web site interface. As a step in the direction of the Virtual Front Desk™, we are in the process of building a site whereby a patient may schedule his/her own appointment online, complete registration forms (with results dropping to a database), pay for services via credit card online, and complete surveys online following the visit. This type of functionality will lower the costs for the provider (by requiring fewer office personnel) and will allow patients the freedom to interact with a “virtual” desk at any time of day rather than interact with the physical front desk of the provider’s office during regular office hours. Health IT has developed Texas Health Guide, a regional internet healthcare portal to connect physicians and patients and to provide a one-stop resource for navigating through the vast amount of available health resources. Texas Health Guide provides a searchable directory of the 40,000 physicians in the State of Texas, with web site links to providers who have given Health IT that information. Free listings on Texas Health Guide are currently provided to providers, and Health IT intends to sell space on Texas Health Guide to vendors and pharmaceutical companies for advertisements once the site has a significant traffic pattern. In the future, Health IT may consider charging providers a monthly fee to be listed on Texas Health Guide. Health IT is also pursuing providing web services and consulting services to pharmaceutical companies, which need to communicate information about their products to physicians and consumers. Health IT was commissioned to write a management report for the Financial Times of London on E-Business in Healthcare: Strategies for the Pharmaceutical Industry. This report, which was in press as of the end of 1999, may give Health IT and its services greater recognition among pharmaceutical companies. After only a few quarters of operations, Health IT has rapidly developed a presence in the Texas marketplace and now serves clients such as UT Southwestern Medical School Department of Otolaryngology. Health IT was also recently chosen as the exclusive web vendor for System Health Providers, a management services organization serving more than 1,300 physicians. We secured a contract with Children's Medical Center of Dallas, UT Southwestern Radiation/Oncology Department, and Physicians Direct Access (a 200 physician IPA) in the first quarter of 2000. With our team of experienced healthcare professionals, Health IT understands the challenges of the healthcare industry and how to apply Internet technology to assist healthcare professionals in responding to the demands of the Internet-savvy patient population. MARKETING During 1999, we discovered some successful marketing avenues that we were able to execute on a small budget. We will continue to utilize these avenues but also believe that it is important for us to brand, by increasing awareness and promotion, Health IT and Texas Health Guide during the year 2000. All Health IT team members participate in the marketing of the Company. Successful strategies that will be continued: Health IT Today. This is an electronic newsletter sent out via email broadcast to 1800 physicians and healthcare technology professionals across the state of Texas. We will endeavor to broaden the reach of this publication and continue to provide educational information about the Internet and Healthcare to our colleagues. Publishing. We recently completed a 50,000-word industry report on E-Business and the Pharmaceutical Industry – commissioned by the Financial Times of London. This will be sold to top-level executives in the pharmaceutical industry and will be actively promoted by the Financial Time staff. Journal articles were published in Oncology Issues (cover story), the Administrative Eye Care Journal, and a local healthcare-focused newspaper. Exposure through local publications. News articles were written about Health IT in Home Office Entrepreneur magazine (prior to our move to a traditional office) as well as the Dallas Business Journal. The Dallas County Medical Society has quoted Health IT President Jivesh Sharma, M.D. several times throughout the year. Health IT was listed in the 1999 Dallas Business Journal Book of Lists as one of the top web design companies in Dallas. Speaking engagements. Ms. Magnis spoke at the Medical Group Management Association’s annual meeting in San Diego as well as the Mosby Surgical Expo in Las Vegas. Dr. Sharma is a regular speaker on Internet technology through his relationships in the hospital arena. Internet Marketing. The Health IT site as well as Texas Health Guide are routinely submitted to the major search engines and directories. Ms. Magnis serves as an editor for a database that feeds results to major search engines and is in discussion with the Medical Group Management Association (“MGMA”) about publishing a book on Internet Marketing for the Healthcare Industry. Visibility at conferences. Dr. Sharma participated as a member of a closed summit on Healthcare and the Internet at the national E-Healthcare World conference and was a presenter at an international pharmaceutical conference in London. He will be speaking at a national pharmaceutical conference in Chicago in 2000. Health IT was promoted by the Health Expo in Dallas at a panel discussion of healthcare professionals who use Internet technology. Dr. Sharma will represent Health IT at the upcoming Wall Street Journal Health Summit in a roundtable discussion with leaders from Healtheon, ClaimsNet and iVillage. Exhibits at vendor shows for professional organizations. A professional exhibitor’s booth and marketing materials were established to promote Health IT. These trade shows allow direct access to the decision-makers and healthcare professionals involved in technology spending. We have participated as an exhibitor at the following trade shows: MGMA, Dallas County Medical Society, Texas Hospital Association, Harris County Medical Society, as well as several smaller shows catering to physician specialties (optometry, podiatry, etc.). Participation in professional organizations. Dr. Sharma and Ms. Magnis are members of the Health Information Management Systems Society (HIMSS) at the national level. Ms. Magnis was recently elected as a board member of the local chapter of this organization as the VP of Publications. Health IT is a member of the Health Industry Council, and Ms. Magnis serves on the Communications Task Force as well as the Information Technology Task Force. Health IT is a member of the Doctors Referral Service of North Texas, a local networking organization that is focused on services to North Texas physicians. Ms. Magnis serves on the board of this organization as the VP of Marketing. In addition to continuing these marketing activities, we hope to dramatically increase our exposure in the next 12 months to broaden our reach across the southwest. To do this, we intend to: Add a VP of Sales/Marketing to the management team to plan and oversee marketing/sales activities; add other sales team members.
