"Overview Enterprise Data Management provides order-warehouse management-delivery software and turnkey systems to the lower middle tier of the distribution and manufacturing market. Our current product line is wireless at the local area network (LAN) level. We are “mobilizing” our solution based on Windows CE and global capable coverage wireless technology. Our new proprietary BrowserIT and B2BIT complimentary suite of products can transform the way a company handles customer, order, inventory and delivery transactions. Enterprise Data Management (eDM) is the result of a merger in January 1999 of Axiom Tech, Inc. (founded 1992) and Thomas Data Systems, Inc. (founded 1986). Our headquarters is located in Rolling Meadows, IL (Chicago) with offices in California and New Hampshire. Enterprise Data Management customers (approximately 500 active) range from large organizations such as Ford Motor Company and the Department of Justice to its core customer base of lower tier middle market companies such as Omni Nutracueticals, CP Clare Corporation and Richardson Furniture. Market and Products The core market which eDM serves and will continue to target is represented by manufacturing and distribution firms from $50MM-200MM in annual sales. We have secured our first significant order for the new product line (valued at $450,000) and will be implementing during Q1 of 2001. The total market opportunity (based on AMR studies) is projected to grow to $6.8B by the year 2002. Our portion of this (lower middle market) is estimated at $200MM. Growth rates currently exceed 50% in these markets. Our target prospects are firms who must convert their existing legacy accounting system based infrastructure to an Internet ready fully integrated order to delivery system. With our solution, customers and sales representatives will be able to (remotely using wireless technology) place their own orders, allocate the desired inventory, control carrier selection and dictate desired delivery. In addition, they can monitor the order’s progress on demand. Billing and payment can be automatic as well. The cost savings to our customer are tremendous. Major reductions in selling, administrative and material handling costs can be achieved. Exit Strategy We anticipate growth to a level where an exit for these investments is possible in the year 2004, via an IPO or acquisition. As a strategic acquisition, our firm would be appealing to software companies marketing legacy accounting or ERP solutions. Capital Use We seek $2,500,000 of additional equity to fund an immediate acquisition candidate, a significant new product marketing and sales effort and fill key positions required to meet our growth objectives. Management Don Carollo – President/CEO Mr. Carollo was the founder of Thomas Data Systems and is President/CEO of Enterprise Data Management. He has 25 years experience in sales management with Data Card Corp. He has over 14 years experience in the automatic data collection (ADC) industry, starting with the creation of Thomas Data Systems in 1986. The past 14 years he has been involved in the management and growth of Thomas Data Systems and more recently EDM. His major experience lies in sales management, marketing, and system sales. Ivan Jeanblanc – Chief Technology Officer Mr. Jeanblanc was the founder of Axiom Tech and is Vice President/CTO and CFO of Enterprise Data Management. He has 25 years experience in the ADC industry in capacities ranging from sales, marketing, product management and executive management. Mr. Jeanblanc has previously founded and successfully grew a software and printer company in the ADC industry. His particular expertise lies in executive management and includes experience in system sales, technical management and finance. The past 13 years of his career have involved building companies (or divisions of companies) from start-up to $25MM in revenue. Bob Carramusa – West Coast Operations Mr. Carramusa is the Western Operations Manager in Enterprise Data Management. He has 29 years of sales management with Data Card Corp., a major provider of credit card and photo ID systems. He established and maintained business relation with major corporations such as Bank of America Wells Fargo Bank, Kaiser Permanete, AAA of California and Disney Corporation.
